Public Offer Agreement

This Public Offer Agreement (hereinafter “Agreement”) is a public offer by GoldenWood Agro (hereinafter “Seller”) to any individual or legal entity (hereinafter “Buyer”) to purchase goods available on the website https://1-800-notebook.com (hereinafter “Website”).

1. General Provisions

1.1. This Agreement is a public offer in accordance with applicable civil law.

1.2. Placing an order on the Website constitutes full and unconditional acceptance of this Agreement.

1.3. The Seller reserves the right to amend this Agreement without prior notice. Changes take effect upon publication on the Website.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the goods selected by the Buyer on the Website, and the Buyer undertakes to accept and pay for such goods in accordance with the terms of this Agreement.

2.2. Goods include live planting material (paulownia seedlings, root cuttings, In Vitro plants) as described in individual product listings.

3. Price and Payment

3.1. Prices are stated in Euros (EUR) and include all applicable taxes unless otherwise stated.

3.2. Payment must be received in full before shipment, unless otherwise agreed in writing.

3.3. The Seller reserves the right to change prices without prior notice. The price at the time of order placement is final for that order.

4. Delivery

4.1. Delivery terms, shipping costs and estimated delivery times are described in the Shipping and Payment section of the Website.

4.2. Risk of loss or damage passes to the Buyer upon handover to the carrier.

4.3. The Buyer is responsible for ensuring correct delivery address and compliance with import regulations in their country.

5. Product Quality

5.1. All products are sold in accordance with phytosanitary standards.

5.2. The Seller guarantees that products are free from quarantine pests and diseases at time of shipment.

5.3. Survival and growth performance of live planting material depends on conditions outside the Seller’s control (soil, climate, planting technique). The Seller provides growing recommendations but cannot guarantee specific yield results.

6. Returns and Complaints

6.1. Claims related to product quality must be submitted within 72 hours of delivery, accompanied by photographic evidence.

6.2. The Seller will review each claim and propose a resolution (replacement, partial refund, or store credit) within 5 business days.

7. Applicable Law

7.1. This Agreement is governed by the laws of Ukraine.

7.2. Any disputes shall be resolved by negotiation. If unresolved, disputes shall be referred to the competent court at the Seller’s place of registration.
